An overview of our role entails the following:

• Understand the specific capital raising requirements
• Conduct analysis of finance and operations with respect to:
• Financial valuation and structure
• Value represented by growth prospects
• Communication with selected investors
• Prepare Information Memoranda and other marketing and communication material
• Identify and approach targeted list of potential investors
• Communicate value of the growth initiatives and manage information requests
• Assist with term sheet selection
• Advice client throughout negotiations on valuation and deal structure
• Support the due diligence process
• Manage closing processes and documentation
